Yellow Bow Addendum to Eventors Terms of Service

Section A: Yellow Bow Service Offerings

A.1. Scope of Yellow Bow Services

Yellow Bow provides budget-conscious event planning assistance, coordination, and support services. These services are distinct from full-service event planning and are designed to empower clients with professional guidance for various event aspects, including but not limited to tailored coordination, venue and vendor sourcing assistance, and custom floor plan creation.

A.2. Yellow Bow Starter Package

  • The Yellow Bow Starter Package is offered at a fixed price of $99.
  • This package includes pre-defined planning assistance elements as detailed at the time of purchase.
  • The Starter Package is an introductory service and does not constitute full event planning or on-site event management unless explicitly stated otherwise in a separate, specific service agreement.
  • Clients are responsible for reviewing the specific inclusions and exclusions of the Starter Package prior to purchase.

A.3. On-Day Coordination Packages

Yellow Bow offers various on-day coordination packages. The specific scope, inclusions, exclusions, and pricing for these packages will be detailed in a separate, customized service agreement or quote provided to the client prior to booking.

A.4. Nature of Services

Yellow Bow acts as a facilitator and advisor, providing tools, resources, and guidance. While we strive to connect clients with suitable venues and vendors, and assist with planning elements, Yellow Bow is not the direct provider of third-party venue services, vendor services (e.g., photography, catering, rentals, floral), or any other services not explicitly stated as being provided directly by Yellow Bow.

Section B: Yellow Bow Pricing and Payments

B.1. Service Fees

All fees for Yellow Bow services, including the $99 Starter Package and any on-day coordination packages, are service fees charged by Eventors Inc. under the Yellow Bow brand.

B.2. Processing Fees

A 5% processing fee is applied to all Yellow Bow transactions. This fee is included in the total price displayed to consumers at each stage of the purchasing process, including initial advertisement, selection of service options, and final checkout. This processing fee is distinct from the Stripe processing fee and the Eventors billing fee as outlined in the general Eventors fee structure.

B.3. Payment Terms

All payments for Yellow Bow services are subject to the general "Fees and Payments" provisions outlined in Section 12 of the main Eventors Terms of Service. Payment for the Starter Package is typically required upfront at the time of booking. Payments for on-day coordination packages will follow the terms specified in the individual service agreement.

B.4. Refunds for Yellow Bow Services

All sales for Yellow Bow services, including the $99 Starter Package, are final and will not be refunded, unless specifically agreed to otherwise by Eventors Inc. in writing. This is in accordance with Section 15 of the main Eventors Terms of Service.

Section C: Client Responsibilities for Yellow Bow Services

C.1. Final Decisions and Vendor Engagement

Clients utilizing Yellow Bow services, particularly those engaging in DIY event planning or seeking partial support, acknowledge and agree that they are solely responsible for all final decisions regarding their event, including but not limited to the selection of venues, vendors, decor, and overall event execution. Unless explicitly stated in a separate, signed agreement where Yellow Bow acts as an agent, clients are responsible for directly contracting with and managing all third-party vendors.

C.2. Provision of Information

Clients must provide accurate, complete, and timely information to Yellow Bow as requested to facilitate the provision of services (e.g., event dates, guest counts, budget details, preferences). Delays or inaccuracies in providing such information may impact Yellow Bow's ability to deliver services effectively.

C.3. Compliance with Third-Party Terms

Clients are responsible for understanding and complying with the terms, conditions, and policies of any third-party venues or vendors they engage, whether or not these were sourced or referred by Yellow Bow.

Section D: Yellow Bow Partner and Referral Program

D.1. Nature of Partnerships

Yellow Bow collaborates with various businesses and professionals, including venues, photographers, videographers, rental companies, caterers, florists, bridal shops, and corporate entities ("Partners"), for referral and coordination purposes. These relationships are designed to enhance the client experience by providing potential resources.

D.2. No Endorsement or Guarantee of Partner Performance

While Yellow Bow may refer or suggest Partners, such referrals do not constitute an endorsement, guarantee, or warranty of the Partner's services, quality, availability, or pricing. Yellow Bow is not responsible for the acts, omissions, or performance of any Partner. Clients are solely responsible for conducting their own due diligence and entering into direct agreements with any referred Partners.

D.3. Referral Incentives

Yellow Bow may receive referral fees or other incentives from Partners. These arrangements do not impact the pricing offered to the client by the Partner unless explicitly disclosed to the client by the Partner.

Section E: Disclaimers and Limitations Specific to Yellow Bow Services

E.1. No Guarantee of Event Success

Yellow Bow provides planning assistance and coordination support. We do not guarantee the ultimate success, outcome, or specific aesthetic realization of any event. The responsibility for the overall execution and success of the event remains with the client.

E.2. Advisory Role

Any advice, recommendations, or suggestions provided by Yellow Bow are for informational and guidance purposes only. Clients retain full responsibility for acting upon such advice and for the consequences of their decisions.

E.3. Integration with Existing Disclaimers

The "Disclaimer of All Warranties" (Section 22), "Limitation of Liability" (Section 23), and "Assumption of Risk" (Section 24) in the main Eventors Terms of Service apply fully to Yellow Bow services, and are hereby reinforced to cover the advisory and facilitative nature of Yellow Bow's offerings. Clients acknowledge that their use of Yellow Bow services is at their sole risk.

Section F: Compliance with Pricing Laws

F.1. All-Inclusive Pricing for Yellow Bow Services

As per Section 16 of the main Eventors Terms of Service, all prices listed on the Eventors platform for Yellow Bow services, including the $99 Starter Package and any other coordination packages, must include all mandatory fees and charges, such as the 5% processing fee, gratuity, and service fees, at the time the price is first displayed to the consumer. Yellow Bow commits to ensuring that its displayed prices are fully transparent and all-inclusive of its own mandatory fees.

Section G: Cash Advances

G.1. Eligibility and Terms

Yellow Bow, as part of Eventors, offers a 50% cash advance for vendors who require funds to prepare for large bookings facilitated through the Eventors platform (e.g., food, flowers, bar service).

  • Applicability: Applied to orders of $2,000 or more.
  • Review Requirement: The vendor must have at least one 5-star review on the Eventors platform.
  • Request Process: The vendor must first accept the booking request, then send an email to support@eventors.com no sooner than 30 days prior to the day of the event requesting the advance.
  • Pre-establishment: Any cash advance must be pre-established and agreed upon with Eventors prior to the event.

Section H: Performing Under The Influence

H.1. Prohibition

Any vendor providing services through the Eventors platform, including those facilitated by Yellow Bow, may not perform any services under the influence of alcohol, drugs, or any other substances that may impair the Service Provider's judgment or ability to perform services safely and effectively.

H.2. Breach of Terms

Any request for or requirement of a vendor to perform services under the influence will be considered a material breach of these Terms and Conditions, leading to potential account suspension or termination.

Section I: Force Majeure

I.1. Definition

Neither party (Eventors/Yellow Bow or the client/vendor) shall be liable for any delay or failure to perform its obligations under this agreement due to any cause beyond its reasonable control, including, but not limited to, acts of God, natural disasters, war, terrorism, epidemics, pandemics, civil unrest, governmental regulations, strikes, lockouts, or other labor disputes ("Force Majeure Event").

I.2. Notice

The party affected by a Force Majeure Event shall provide prompt written notice to the other party, describing the event and its anticipated impact on performance.

I.3. Duty to Mitigate

The affected party shall use commercially reasonable efforts to mitigate the impact of the Force Majeure Event and to resume performance as soon as practicable.

I.4. Suspension of Performance

The affected party's obligations under this Agreement shall be suspended during the period of the Force Majeure Event, but only to the extent that performance is prevented by the event.

I.5. Termination

If a Force Majeure Event prevents performance of this Agreement for a continuous period of thirty (30) days, either party may terminate this Agreement upon written notice to the other party.

Section J: Cancellation Policy for Yellow Bow Services

J.1. General Applicability

The Eventors Cancellation Policy, as outlined in the main Terms of Service, applies to bookings facilitated through the Eventors platform, including those where Yellow Bow services are utilized. Eventors retains its customary fees in all cancellations.

J.2. Specifics for Yellow Bow Service Fees

While the tables in the main Cancellation Policy primarily address vendor refunds, it is reiterated that any fees paid directly to Yellow Bow for its planning assistance or coordination services (e.g., the $99 Starter Package) are generally non-refundable, as stated in Section B.4 of this addendum and Section 15 of the main Terms of Service, unless a specific written agreement states otherwise.
